Newpower Partner Programme terms

These terms apply between Newpower Advanced Ltd (company number 14496911, Unit 3 Bridge Court, Rotherham S60 1RD — "Newpower", "we", "us") and you, the approved partner ("you"). By ticking to accept them in the Partner Portal, or by submitting any referral, you agree to them. Version 2026-10-15.

1. What this is

  1. 1.1The Newpower Partner Programme pays you commission when a customer you introduce buys and has installed a product from us. You introduce; we do everything else — the call, the survey, the design, the quote, the contract, the install and the aftercare.
  2. 1.2Joining is by application only. We approve, decline or close partner accounts at our sole discretion and don't have to give a reason.
  3. 1.3You are an independent business or individual. Nothing in these terms makes you our employee, agent, worker, franchisee or business partner. You have no authority to make promises, quote prices, accept orders or sign anything on our behalf, and you must not say or imply that you do.

2. Key words

  1. 2.1"Referral" means a customer's details submitted through the Partner Portal, or by the customer themselves through your personal referral link or QR code.
  2. 2.2"Qualifying Sale" means a Referral that, within 6 months of the date it was submitted, signs a contract with Newpower for an eligible product, does not cancel (including within their 14-day cooling-off period), has that product fully installed, and has paid us in full.
  3. 2.3"Rate Card" means the commission rates shown for your account in the Partner Portal, which can differ by partner and by product.
  4. 2.4"Net Order Value" means the price the customer pays us for the installed product, excluding VAT, any government grant or scheme payment (for example the Boiler Upgrade Scheme), and any finance charges or interest.

3. Referring customers

  1. 3.1Only submit someone who has clearly agreed, before you submit them, that you can pass their details to Newpower and that Newpower can contact them about the product they're interested in. By ticking the consent box you confirm that they have. We may ask you to show how and when that agreement was given, and you must keep a simple record of it for 12 months.
  2. 3.2Tell the customer that Newpower will contact them, that Newpower will tell you how their enquiry is progressing (status only — never prices or personal details beyond what you gave us), and that they can read our privacy policy at newpoweruk.co.uk/privacy-policy.
  3. 3.3Details must be accurate and about a real person with a genuine interest. Don't submit lists, data you've bought, scraped or been given by someone else, or anyone you haven't personally spoken to.
  4. 3.4One customer, one Referral. If a customer is already known to us — an enquiry in the last 6 months, an open quote, or an existing customer — or another partner referred them first, the Referral is marked "Already known to us" and no commission is due. Our records decide this and our decision is final.
  5. 3.5Referring yourself, your household or a property you own earns commission only if we agree in writing first.
  6. 3.6We decide whether to quote, what to recommend, the price and the terms. We may decline to work with any customer. We don't guarantee that any Referral will be contacted within a set time, sold or installed, and no commission is due if it isn't.

4. Commission

  1. 4.1Commission is earned only on a Qualifying Sale, at the rate on your Rate Card for that product on the date the Referral was submitted. A rate is either a fixed amount per installed product or a percentage of the Net Order Value.
  2. 4.2Commission becomes payable 14 days after installation, provided the customer has paid in full. Until then it shows as pending. If a customer pays by finance, it is payable once the lender has paid us.
  3. 4.3No commission is due on: cancelled, unpaid, refunded or uninstalled orders; Referrals marked "Already known to us" or "Not accepted"; products not on your Rate Card; servicing, repairs, call-outs or remedial work; or any Referral obtained in breach of these terms.
  4. 4.4All commission figures include VAT, if any applies. You are responsible for your own income tax, National Insurance and any VAT. If you are VAT registered, we may ask for a VAT invoice before paying.
  5. 4.5If a sale we have paid commission on is cancelled, refunded or unwound within 12 months of installation, we may deduct that commission from your future payouts or ask you to repay it within 30 days.
  6. 4.6If we make a mistake in your favour, we may correct it. We may also deduct anything you owe us from anything we owe you.

5. Changing commission

  1. 5.1We may change your Rate Card — the rates, the products that earn commission, the hold period, the minimum payout, or the whole structure — at any time. We will show the change in the Partner Portal and may also email you.
  2. 5.2Changes apply to Referrals submitted after the change is shown. Referrals you submitted before keep the rate that applied on the day you submitted them, unless the change is in your favour.
  3. 5.3If you don't want to continue on the new rates, you can close your account at any time (section 11).

6. Getting paid

  1. 6.1Request a payout in the Partner Portal once you have at least £25 payable. We aim to pay within 14 days and will always pay within 30 days of an approved request, by bank transfer to the UK bank account in your Portal. We are not responsible for payments sent to account details you gave us that turn out to be wrong.
  2. 6.2We may hold a payout while we check a Referral, a customer complaint, or a suspected breach of these terms. We'll tell you why.
  3. 6.3Commission that hasn't been requested within 12 months of becoming payable lapses.

7. Promoting Newpower

  1. 7.1You may use the logos, photos, QR codes, links and approved wording in the Tools section of the Portal, as provided and without changing them, only to promote Newpower and only while you are an active partner. Everything else about our brand needs our written approval first.
  2. 7.2You must be honest, accurate and fair. Stick to the approved wording for anything about savings, payback, grants, prices, product performance or what's included. Never promise a price, a saving, a grant, a discount, an install date or a result.
  3. 7.3You must not say or imply that you are Newpower, work for Newpower, or are MCS certified, TrustMark registered or an approved installer because of this programme.
  4. 7.4You must not: bid on "Newpower" or similar search terms or misspellings in Google, Bing, Meta or any other ads; use "Newpower" in a domain name, social handle, business name or ad account; build pages or profiles that could be mistaken for ours; or run paid ads that mention Newpower without our written approval.
  5. 7.5You must not cold call, door-knock on our behalf, or send unsolicited marketing emails, texts or messages, and you must follow the Privacy and Electronic Communications Regulations, the Consumer Protection from Unfair Trading rules in the Digital Markets, Competition and Consumers Act 2024, and the CAP Code.
  6. 7.6If you post about Newpower and you are paid, will be paid or could earn commission, you must clearly label it as advertising (for example "#ad" at the start) in line with Advertising Standards Authority and Competition and Markets Authority guidance.
  7. 7.7Never pressure anyone, and take extra care with anyone who may be vulnerable. Don't offer customers money, gifts or discounts to sign up unless we've agreed it in writing.

8. Finance

  1. 8.1Newpower Advanced Ltd is authorised and regulated by the Financial Conduct Authority as a credit broker (FRN 1037988). You are not, and this programme does not make you so.
  2. 8.2You must not discuss, recommend, arrange or advertise finance, monthly payments, "buy now pay later" or any other credit with customers, and you must not mention finance in any promotion. If a customer asks about paying monthly, tell them Newpower will go through the options and leave it to us.

9. Customer data

  1. 9.1You are responsible, as an independent controller under UK GDPR, for collecting customers' details lawfully and passing them to us only with their agreement. Send details only through the Portal — not by email, text, spreadsheet or social media message.
  2. 9.2Once we receive a Referral, Newpower is the controller of that customer's data and handles it under our privacy policy. Don't keep copies longer than you need them, and keep anything you do keep secure.
  3. 9.3Tell us straight away at info@newpoweruk.co.uk if a customer asks you to withdraw their details, or if you think customer data has been lost or misused.
  4. 9.4Treat what you see in the Portal — including your Rate Card and customers' progress — as confidential. Don't share it with anyone except the customer it is about.

10. Responsibility

  1. 10.1You are responsible for what you say and do while promoting Newpower. You agree to cover our reasonable losses, costs, fines and claims that result from you breaking these terms or the law, including data protection, advertising and marketing rules.
  2. 10.2We are not liable for any indirect loss, loss of profit or lost opportunity, or for commission you expected but didn't earn. Our total liability to you under these terms is limited to the commission paid or payable to you in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.

11. Pausing and closing

  1. 11.1You can close your account at any time by telling us in writing.
  2. 11.2We can pause or close your account at any time. If we do so because you broke these terms, acted dishonestly, or did something that damages our reputation, any commission not yet paid is forfeited.
  3. 11.3Otherwise, after closing, commission is still paid on Referrals you submitted before closing that become Qualifying Sales within the normal 6-month window.
  4. 11.4When your account closes, stop using our name, logos, links and QR codes and remove any content that promotes Newpower within 14 days.

12. Changes to these terms

  1. 12.1We may update these terms at any time. We'll show the new version in the Portal and ask you to accept it before you submit another Referral. Updates never reduce commission that is already payable or paid.

13. General

  1. 13.1These terms, together with your Rate Card, are the whole agreement between us about the programme. You can't transfer your account or these terms to anyone else. Only you and Newpower have rights under them. If any part is found unenforceable, the rest still applies. If we don't enforce something straight away, we can still enforce it later.
  2. 13.2These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
